Re: Announcement on acquisition of MR prober business

We would like to announce that OHT board meeting, held on 30th October, 2017, passed a resolution of the basic agreement acquiring MR prober business from TOHOKU STEEL CO., LTD. as follow;

1. Reason of acquiring business
Vtechnology Group where OHT group belongs aims for gaining entry into the Semiconductor field in addition to display field to expand the business and grow up steadily. As part of activities based on the foresaid Vtechnology group policy, OHT group acquires MR prober business and expects to promote our group’s semiconductor business.

2. Outline of acquisition of business
  1) Business to be acquired
    Design, manufacture and sales of "MR prober"*
  2) Asset and debt expected to be transferred
    Assets 90,919 thousand Japanese YEN
    Debt 54,000 thousand Japanese YEN
  3) Amount of transfer and way of settlement
    Amount of transfer: Not disclosed because of agreement with TOHOKU STEEL CO., LTD.
    Way of settlement: Cash
  *MR Prober: Testing System which can measure magnetic characteristic of MRAM or HDD magnetic head at the wafer level.

3. Schedule
  Date of concluding contract: 15th November, 2017
  Date of transferring business: 28th December, 2017 (expected)
